These Terms of Use, also referred as end user agreement is an electronic record in terms of Information Technology Act, 2000 of India rules and/or regulation (amended from time to time).This user agreement is generated by a computer system and does not require any physical or digital signatures.This user agreement is published for access and/or usage of “MiniPIX” a digital video streaming service owned and operated by Intellogic Innovations Private Limited (" Subscription based Video on Demand Service" / " MiniPIX".

In these terms and conditions of use ("Terms of Use". Or “EULA”), the following terms shall have the meaning as ascribed to them below:

" User" refers to you, the person visiting, accessing and/or using the Service by means of any communication device.

" The Company" refers to Intellogic Innovations Private Limited, and its holding company, subsidiary or affiliate company.

All references to " You" " Yourself" and " Your" shall mean the User.All references to " MiniPIX", " Company", " We", " Us" and " Our" shall mean Intellogic Innovations Private Limited.

This is a legal and binding agreement between You i.e. the User of the Service and the Company and states the terms that govern Your use of the Service. By accessing this Service, You consent, agree and undertake to abide, be bound by and adhere to the Terms of Use and if You do not agree to these terms of use, You should not access or use the Service and any use thereafter shall be unauthorized. By accessing and/or using the Service, You signify Your agreement to accept these binding Terms of Use herein. This document constitutes a legally binding user agreement between the Company and You. IF YOU DO NOT AGREE WITH ANY OR ALL OF THE FOLLOWING TERMS OF USE (INCLUDING THE PRIVACY POLICY), PLEASE DO NOT ACCESS AND/OR USE THE SERVICE. Please review the Terms of Use from time-to-time. We reserve the right, at Our sole discretion, to change, modify or otherwise alter these Terms of Use at any time without prior notice. Such changes and/or modifications shall become effective immediately upon being posted/published on the Service herein. Your continued use of the Service following the posting of changes and/or modifications shall constitute Your acceptance of any revised Terms of Use. The Company retains the right at any time to deny or suspend access to all or part of the Service to anyone who the Company believes has violated any of these Terms of Use.

Access to the service, prohibited use, payment policy and third party content:
1. You must be 18 years of age, or the age of majority in your province, territory or country, to become a member of the MiniPIX service/Service. Minors may only use the service under the supervision of an adult.
2. You may view the content In India and only in such geographic locations where we offer our service and have licensed such content. The content that may be available to watch will vary by geographic location and will change from time to time.
3. Your consumption of the Services/ content shall be exclusively for your personal and non-commercial use only. During your membership, we grant you a limited, non-exclusive, non-transferable license to access the Service and content available through the Service. Except for the foregoing limited license, no right, title or interest shall be transferred to you. You agree not to use the service for public performances.
4. You shall use MiniPIX in accordance with all applicable laws, rules and regulations, or other restrictions on use of the service or content therein, and only for the purpose of personal consumption of the content for entertainment. MiniPIX does not allow download of the content outside the app environment and you shall ensure that you will not reproduce, record or download and share the content in any other application, or to any third parties in any manner, unless share feature is authorized and provided by the Company. MiniPIX may provide the users to comment, chat room, or similar features with respect to the content and / or services, you shall use such features with all due care and respect to the public policy, communities, religion etc. and shall not make any defamatory, derogatory, unethical or obscene comments or such comments that may hurt any other individual’s or community’s sentiments. We may terminate your service or suspend your access to any content or features of the content without any liability, if we find you in breach of any community guidelines or making any derogatory or defamatory comments or such comments that may hurt the sentiments of any community or any individual.
5. You agree not to: circumvent, remove, alter, deactivate, degrade or thwart any of the content protections in the Service; use any robot, spider, scraper or other automated means to access the Service; decompile, reverse engineer or disassemble any software or other products or processes accessible through the Service; insert any code or product or manipulate the content of the Service in any way; or use any data mining, data gathering or extraction method. In addition, you agree not to upload, post, e-mail or otherwise send or transmit any material designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment associated with the Service, including any software viruses or any other computer code, files or programs. We may terminate or restrict your use of our service if you violate these Terms of Use or are engaged in illegal or fraudulent use of the service.
6. The quality of the display of the content may vary from device to device, and may be affected by a variety of factors, such as your location, the bandwidth available through and/or speed of your Internet connection. HD, Ultra HD and HDR availability is subject to your Internet service and device capabilities. You are responsible for all Internet access charges. Please check with your Internet provider for information on possible Internet data usage charges.
7. Service Plans, Payment and Refund Policy: Currently Service Plans include freemium model and premium model. Under Freemium model, you can access and view content for free, however your viewing experience will be interrupted by advertisements overlaying on the content. Under premium model, you may access and view content against monthly subscription fees and enjoy an ad-free viewing experience. If you choose a Premium model you will be charged for the subscription fee and will be billed as per your selected Payment Method (defined hereunder) for the subscription plan selected by you at the beginning of your subscription term and on each subsequent renewal automatically (as per the subscription plan chosen by you, within the renewal guidelines of RBI) unless and until you cancel the service, or the service is otherwise suspended or discontinued pursuant to these Terms of Use. To view/ check the commencement date for your next renewal period or to cancel the service, You need to visit the "Account" section on your profile page. It may take a few days for your payment made to MiniPIX to be reflected in Your "Account" section. "Payment Method" shall mean all the approved methods as available to the Users to process and facilitate the payment of the subscription fee for accessing the Subscription Services.
  You shall be governed by the Terms of Use and Privacy Policy of the third-party payment gateways / service providers, engaged to process and facilitate the payment of the subscription fee for accessing the premium services.
  You are responsible for the accuracy and authenticity of the information provided by you, including the bank account number/credit card details and any other information requested by the payment gateway service provider during the subscription process. We further clarify that we do not receive or collect any of your financial information including bank account number, credit card and/or debit card number, one-time-password sent by your bank, passwords, bank customer IDs etc., and will not be responsible for misuse of such information by anyone. You agree and acknowledge that MiniPIX shall not be liable and in no way be held responsible for any losses whatsoever, whether direct, indirect, incidental or consequential, including without limitation any losses due to delay in processing of payment instruction or any credit card/debit card/banking fraud. You can file any complaint related to payment processing by writing to the third-party payment gateway / payment processing service provider, on the email provided by them.
  NO REFUNDS: Any and all payments made under these Terms of Use are non-refundable, and we do not provide refunds or credits for any partial-month subscription periods for any and all reason except if you have reason to believe that your account details have been obtained by another without consent. In such an event, you should immediately contact the third-party payment gateway / payment processing service provider (on the email provided by them) for resolution.
  CHARGEBACKS If we receive a chargeback or payment dispute from a credit card company or bank, your service and/or subscription will be suspended without notice. Applicable chargeback fee will be issued to recover fees passed on to us by the credit company, plus any outstanding balances accrued as a result of the chargeback(s) must be paid in full before service is restored. Instead of issuing a chargeback, contact us to address any billing issues. Requesting a chargeback or opening any sort of dispute for a valid charge from us is misuse of your legal rights and is deemed fraud.
8. Registration and Control: To access Service you need to register Yourself on the https://minipix.in/ using your Mobile Number, Facebook or Google account or any Email id. For the purpose of the registration, you need to provide us your details such as name, age, location etc. The member who created the MiniPIX account (the "Account Owner") has access and control over the MiniPIX account. To maintain control over the account and to prevent anyone from accessing the account (which would include information on viewing history, payment methods etc. for the account), the Account Owner should maintain control over the MiniPIX ready devices that are used to access the Service and not reveal the password nor details of the payment method associated with the account to anyone. You are responsible for updating and maintaining the accuracy of the information you provide to us relating to your account. We can terminate your account or place your account on hold in order to protect you, the Company or our partners from identity theft or other fraudulent activity. You confirm and warrant that all the data and information supplied by You when You register for the Service ("Registration Data") is true, current, complete and accurate in all respects. You agree to promptly update Your Registration Data, so that Your information remains true, current, complete, and accurate at all times. You acknowledge and agree that Your Registration Data and any other personal data collected by the Company is subject to the Company’s Privacy Policy. The Company may collect information such as occupation, language, pin code, area code, unique device identifier, location, and the time zone where the Services are used and may use these to target advertising and make content recommendations. You acknowledge, consent and agree that the Company may access, preserve, transfer and disclose Your account information and/or Registration Data subject to the Privacy Policy, if required to do so by law to co-operate with mandated government and law enforcement agencies or to any private parties by an order under law for the time being in force to enforce and comply with the law including to various tax authorities upon any demand or request by them or in a good faith belief that such access, preservation, or disclosure is reasonably necessary to: (a) comply with legal process and/or any applicable law in the territory; (b) enforce the Terms and Conditions; (c) respond to Your requests for customer service; or (d) protect the rights, property or personal safety of the Company, affiliates, its users and the public.
9. Third party content: Part of this Site/Service contains advertising and other material submitted to us by third parties and/or links to third party sites and third party content. Although display of advertisements on the MiniPIX on request is subject to our terms and conditions, we expressly disclaim any liability arising out of the usage or viewing of these products or services advertised on MiniPIX or the (third party) content made available / hosted on the third-party sites. You agree and acknowledge that The Company does not endorse or sponsor such third-party sites, content, advertising or other material. MiniPIX may contain content contributed by several individuals/entities. The views are exclusively their own and do not represent the views of The Company, affiliates and/ or its management. All liability in respect of the above is excluded to the extent permitted by law including any implied terms. Indian law and jurisdiction applies with respect to contents of this Site. While using this website for information purposes or otherwise, users acknowledge and accept the above disclaimer. If The Company provides links or pointers to other websites or destinations, You should not infer or assume that The Company operates, controls, or is otherwise connected with these other websites or destinations. Please be careful to read the terms of use and privacy policy of any other website or destination before You provide any confidential information or engage in any transactions. You should not rely on these Terms and Conditions and/or Privacy Policy to govern Your use of another website or destination. The Company is not responsible for the content or practices of any website or destination other than the MiniPIX . By using the Services, You acknowledge and agree that The Company is not responsible or liable to You for any content or other materials hosted and served from any website or destination other than the MiniPIX. The Company takes no responsibility for advertisements or any third-party material posted on MiniPIX nor does it take any responsibility for the products or services provided by advertisers. Any dealings You have with advertisers found while using the Services are between You and the advertiser, and You agree that The Company is not liable for any loss or claim that You may have against an advertiser.

If You believe that the Service contains any data, information, content or material that could be in violation of violation of any applicable provision of the regulations, Act or rules thereunder applicable in the Territory, You may notify the Company of the same by sending an email notification at on email address mentioned above. By doing so, please remember that You are initiating a legal process. Do not make false claims. Misuse of this process may result in the suspension of Your account and/or other legal consequences. Please note that this provision shall be governed by applicable laws in the Territory including relevant provisions of the Act. You may seek independent legal advice with respect to this legal procedure at Your sole cost, expense and consequences. The Company shall take-down any data, information, content or material only upon receiving actual knowledge from a court order or on being notified by the appropriate government or its agency. The Company further reserves the right (without the obligation of doing so) to take-down any data, information, content or material, without notice to User and without any liability either to the Company or its directors, key managerial personnel, officers, employees, that the Company in its sole discretion determines to be in violation in violation of any applicable provision of the Act or rules thereunder.
Termination:
The Company reserves the right to terminate Your access to all or part of the Service, at its sole discretion, without notice and without liability either to the Company or its directors, key managerial personnel, officers, employees, either for convenience or for any reason, including in the event of suspected or actual breach by You of any of these Terms of Use, the Privacy Policy, violation of any law including the Act and/or rules thereunder or any other regulation, or for any other reason that the Company deems fit. You hereby agree and consent to the above and agree and acknowledge that The Company can, at its sole discretion, exercise its right in relation to any or all of the above, and that The Company, its directors, officers, employees, affiliates, agents, contractors, principals or licensors shall not be liable in any manner for the same; and You hereby agree, acknowledge and consent to the same.
INDEMNITY
YOU AGREE TO FULLY INDEMNIFY, DEFEND AND HOLD HARMLESS THE COMPANY, ITS AFFILIATES, ASSOCIATES AND GROUP COMPANIES, AND THEIR RESPECTIVE DIRECTORS, KEY MANAGERIAL PERSONNEL, EMPLOYEES, OFFICERS, SHAREHOLDERS, AGENTS, REPRESENTATIVES, SUB-CONTRACTORS, CONSULTANTS AND THIRD-PARTY PROVIDERS FROM AND AGAINST ALL LOSSES, CLAIMS AND DAMAGES INCLUDING LEGAL FEES, RESULTING FROM: (I) YOUR VIOLATION OF ANY TERM OF THESE TERMS OF USE; (III) YOUR VIOLATION OF ANY THIRD PARTY RIGHT, INCLUDING WITHOUT LIMITATION ANY PUBLICITY, PRIVACY, OR INTELLECTUAL PROPERTY RIGHT; (IV) YOUR BREACH OF ANY APPLICABLE LAWS; (IV) ANY UNAUTHORIZED, IMPROPER, ILLEGAL OR WRONGFUL USE OF YOUR ACCOUNT BY ANY PERSON, INCLUDING A THIRD PARTY, WHETHER OR NOT AUTHORIZED OR PERMITTED BY YOU; AND (V) YOUR BREACH OF ANY REPRESENTATION, WARRANTY, COVENANT OR UNDERTAKING UNDER THESE TERMS OF USE OR UNDER APPLICABLE LAW. THIS INDEMNIFICATION OBLIGATION WILL SURVIVE THE EXPIRY OR TERMINATION OF THESE TERMS OF USE AND YOUR USE OF THE SERVICE.
DISCLAIMER OF WARRANTIES
YOU AGREE THAT USE OF THE SERVICES AND THE ACCESS TO THE SITE IS AT YOUR OWN RISK. THE SERVICES INCLUDING THE SITE/APP, THE CONTENT, THE VIDEO PLAYER, AND ANY OTHER MATERIALS CONTAINED ON OR PROVIDED THROUGH THE SITE ARE PROVIDED "AS IS" AND, TO THE FULLEST EXTENT PERMITTED BY LAW, ARE PROVIDED WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WITHOUT LIMITING THE FOREGOING, THE COMPANY DOES NOT MAKE ANY WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE, TITLE, MERCHANTABILITY, COMPLETENESS, AVAILABILITY, SECURITY, COMPATIBILITY OR NON-INFRINGEMENT; OR THAT THE SERVICES WILL BE UNINTERRUPTED, FREE OF VIRUSES AND OTHER HARMFUL COMPONENTS, ACCURATE, ERROR FREE OR RELIABLE.
LIMITATION OF LIABILITY
IN NO CASE SHALL THE COMPANY, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, PRINCIPALS, OR LICENSORS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE SERVICES OR ANY CONTENT OR MATERIAL THEREOF OR FOR ANY OTHER CLAIM RELATED IN ANY WAY TO YOUR ACCESS OF THE SITE OR USE OF THE SERVICES OR ANY CONTENT OR MATERIAL THEREOF, INCLUDING, BUT NOT LIMITED TO, ANY ERRORS OR OMISSIONS IN ANY CONTENT OR MATERIAL, OR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF THE SERVICES OR ANY CONTENT OR MATERIAL THEREOF, EVEN IF ADVISED OF THEIR POSSIBILITY.WHERE THE LAWS DO NOT ALLOW THE EXCLUSION OR THE LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, IN SUCH JURISDICTIONS, THE COMPANY‚S LIABILITY SHALL BE LIMITED TO THE EXTENT OF SUBCRIPTION FEES PAID BY YOU TO THE COMPANY, IF ANY.
Governing Law and Jurisdiction
The relationship between You and Intellogic Innovations Private Limited, shall be governed by the laws of India without regard to its conflict of law provisions and for resolution of any dispute arising out of Your use of the Services. Notwithstanding the foregoing, You agree that (i) the Company has the right to bring any proceedings before any court/forum of competent jurisdiction and You irrevocably submit to the jurisdiction of such courts or forum and (ii) any proceeding brought by You shall be exclusively before the courts at India.
OTHER - MISCELLENIOUS
You acknowledge that Your representations, undertakings, and warranties and the clauses relating to indemnities, limitation of liability, grant of license, governing law, confidentiality shall survive the efflux of time and the termination of these Terms and Conditions.
If any provision of these terms and conditions is held invalid, void, or unenforceable, then that provision shall be considered severable from the remaining provisions, and the remaining provisions given full force and effect.
These Terms and Conditions and Privacy Policy constitute the entire agreement between You and the Company governing Your use of the Services, superseding any prior agreements between You and the Company regarding such use.
We may send you promotions or otherwise communicate with you electronically, which may include e-mail, and/or push notification, and you hereby consent to receive those communications.
Any express waiver or failure to exercise promptly any right under these Terms of Use will not create a continuing waiver or any expectation of non-enforcement.
You agree that the Company shall be under no liability whatsoever to You in the event of non-availability of the Service or any portion thereof occasioned by Act of God, war, disease, revolution, riot, civil commotion, strike, lockout, flood, fire, satellite failure, network failures, server failures, failure of any public utility, terrorist attack, network maintenance, Service maintenance, server maintenance, or any other cause whatsoever beyond the control of the Company.
The Privacy Policy (as provided on the Service), and any other documents, instructions, etc. included on the Service shall be read into this and shall be a part of these Terms of Use. The Privacy Policy shall form an integral part of the Terms of Use and both these documents constitute the user agreement and a legally binding contract between the Company and the User.
The Company reserves the right, at any time and from time to time, without notice to You, to update, revise, supplement, and otherwise modify these Terms of Use and to impose new or additional rules, policies, terms, or conditions on Your use of the Service.Any material updates, revisions, supplements, modifications, and additional rules, policies, terms, and conditions (collectively referred to in this Terms of Use as " Additional Terms") will be posted on the App and/or Website and will be effective immediately after such posting and thereafter incorporated into these Terms and Conditions. Your continued use of the Services will be deemed to constitute Your acceptance of any and all such Additional Terms.
